1. Definitions

• "Service" refers to the Equity Matrix website, application, and all related services provided by Equitymatrix LLC.
• "User," "you," or "your" refers to the individual or entity accessing or using the Service.
• "Account" refers to a unique account created for you to access our Service.
• "Company" refers to a business entity created within the Service for equity tracking purposes.
• "Contributor" refers to any individual added to a Company within the Service.
• "Content" refers to any information, data, text, or materials uploaded to or created within the Service.

2. Account Registration

To use certain features of the Service, you must create an Account. When creating an Account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your Account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your Account
• Notify us immediately of any unauthorized use of your Account

You must be at least 18 years old to create an Account. By creating an Account, you represent that you are at least 18 years of age.

3. Subscription and Payments

Free Trial

We offer a 14-day free trial for new users. No credit card is required to start the trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.

Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. You agree to pay all fees associated with your subscription plan.

Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method on file for renewal fees.

Price Changes

We reserve the right to modify subscription fees. We will provide at least 30 days' notice before any price changes take effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Refunds

Subscription fees are non-refundable except as required by law. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Scrape, crawl, or use automated means to access the Service without permission
• Impersonate any person or entity
• Use the Service for any fraudulent or deceptive purpose
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove or alter any proprietary notices or labels

5. Your Content

Ownership

You retain ownership of all Content you submit to the Service. We do not claim ownership of your Content.

License Grant

By submitting Content to the Service, you grant us a limited, non-exclusive, royalty-free license to use, store, and process your Content solely for the purpose of providing and improving the Service.

Your Responsibilities

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF CONTENT
• UNINTERRUPTED OR ERROR-FREE OPERATION

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EQUITYMATRIX LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or Content
• Business interruption
• Damages arising from equity disputes or ownership disagreements
• Any decisions made based on information provided by the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Equitymatrix LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your Content, or your violation of these Terms.

10. Termination

Termination by You

You may cancel your Account at any time through your account settings or by contacting us. Upon cancellation, your subscription will not renew, but you will retain access until the end of your current billing period.

Termination by Us

We may suspend or terminate your Account immediately, without prior notice, if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees when due
• Create risk or legal exposure for us

Effect of Termination

Upon termination, your right to use the Service will cease immediately. Your data will remain accessible in read-only mode for 90 days, after which it will be permanently deleted. You may export your data during this period.

11. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the decision of the arbitrator shall be final and binding.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Equitymatrix LLC regarding the Service and supersede all prior agreements and understandings.
